Hassan Awais joined the firm full-time after completing his LL.M. degree from George Washington University, U.S.A. He previously worked with the International Finance Corporation (IFC) in Washington, D.C., where he served as a legal advisor on infrastructure, corporate finance, and environmental matters, providing strategic counsel on investment structuring, project financing, and regulatory compliance in emerging markets.
With a strong foundation in corporate and banking law, Hassan specializes in corporate transactional work and financial structuring, advising clients on mergers and acquisitions, joint ventures, corporate restructuring, private equity transactions, and banking and finance matters. His expertise includes negotiating and structuring complex cross-border transactions, drafting commercial agreements, and ensuring compliance with regulatory frameworks for both domestic and international clients. He has been engaged in advising financial institutions, investment funds, and multinational corporations on the legal aspects of corporate finance, structured finance, and project finance transactions, ensuring that deals align with international best practices and regulatory requirements.
Hassan plays a key role in structuring and negotiating banking and finance transactions, including syndicated lending, trade finance, asset-backed finance, and investment banking transactions. He advises banks, non-banking financial institutions (NBFIs), and private equity firms on debt structuring, securitization, and risk mitigation strategies. His experience includes handling transactions involving Islamic finance, project finance, acquisition financing, and regulatory capital transactions. He has worked on structuring Shariah-compliant financing instruments, including Murabaha, Ijarah, Musharakah, and Sukuk issuances, providing tailored solutions to financial institutions operating in both conventional and Islamic finance sectors.
In addition to his corporate and banking advisory role, Hassan has been instrumental in managing and expanding the firm’s corporate practice, focusing on client development, transaction structuring, and representation of financial institutions, investment funds, and corporate entities. He regularly represents banks, multinational corporations, and investment firms before regulatory bodies, financial tribunals, and the High Court, advocating for clients in complex corporate disputes, regulatory investigations, and financial litigation matters.
His expertise extends to handling financial disputes and white-collar crime investigations, where he has successfully represented clients in cases involving banking fraud, regulatory breaches, anti-money laundering (AML) compliance, and financial crimes. He is adept at navigating the legal complexities of financial regulations, ensuring strategic risk management solutions for clients dealing with cross-border banking transactions, securities regulations, and compliance with banking laws and SECP regulations.
